11. Agreement to Terms

By accessing or using GhostChat ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

22. Description of Service

GhostChat provides a lightweight messaging widget that allows website owners to capture leads and communicate with their visitors. The Service includes:

• •A lightweight, embeddable messaging widget (~10 KB) gzipped
• •A web-based dashboard (installable as a PWA) for managing conversations
• •Gmail threading - reply to messages directly from your inbox
• •Email notifications for new messages
• •Contact management (CRM Lite)

33. Account Registration

To use GhostChat, you must:

• •Create an account with a valid email address
• •Provide accurate and complete information
• •Maintain the security of your account credentials
• •Notify us immediately of any unauthorized use

You are responsible for all activities that occur under your account.

44. Acceptable Use

You agree not to:

• •Use the Service for any illegal purpose or in violation of any laws
• •Transmit any harmful, offensive, or inappropriate content
• •Impersonate any person or entity
• •Interfere with or disrupt the Service or servers
• •Attempt to gain unauthorized access to any part of the Service
• •Use automated systems to send messages (spam, bots)
• •Reverse engineer, decompile, or disassemble the Service
• •Resell or redistribute the Service without permission

66. Usage Limits and Fair Use

All plans include unlimited messages. The Business plan includes unlimited conversation history. The Pro plan includes 1-year conversation history. All features are subject to our Fair Use Policy and intended for normal, reasonable business use.

77. Intellectual Property

The Service, including all content, features, and functionality, is owned by GhostChat.

You retain ownership of all content you submit through the Service (chat messages, site configurations).

88. Privacy

Your use of the Service is also governed by our Privacy Policy.

99. Data Ownership and Portability

• •You own your data — messages, contacts, and site configurations remain yours at all times.
• •You can export your contacts to CSV at any time from the dashboard.
• •Upon account deletion, we will permanently delete all your data within 30 days.

1010. Service Availability

• •We strive for high availability but do not guarantee 100% uptime.
• •The Service runs on Cloudflare's edge network and Supabase infrastructure.
• •We are not liable for downtime caused by third-party infrastructure providers.
• •Scheduled maintenance will be communicated in advance when possible.

1111. Limitation of Liability

• •The Service is provided "as is" without warranties of any kind, express or implied.
• •We are not liable for any indirect, incidental, special, or consequential damages.
• •Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
• •Free plan users: liability is limited to $0.

1212. Termination

• •We may suspend or terminate your account if you violate these Terms.
• •You may delete your account at any time from the dashboard.
• •Upon termination, your right to use the Service ceases immediately.
• •Sections that by their nature should survive termination will survive (liability, intellectual property, etc.).

1313. Governing Law

These Terms are governed by the laws of the State of New York, United States. Any disputes arising from these Terms shall be resolved in the courts of New York.

1414. Changes to Terms

• •We reserve the right to modify these Terms at any time.
• •Material changes will be communicated via email to registered users.
• •Continued use of the Service after changes constitutes acceptance of the updated Terms.
• •If you disagree with updated terms, you may delete your account.

1515. Bot Agent — Third-Party AI Services

GhostChat's Bot Agent feature allows you to connect third-party AI services ("AI Agents") to your chat widget via webhook. By using this feature, you acknowledge and agree that:

• ⚠You are solely responsible for the configuration, behavior, and outputs of any AI Agent you connect to GhostChat.
• ⚠Visitor messages delivered via webhook are untrusted user input from the public internet. You are responsible for ensuring your AI Agent handles such input safely.
• ⚠GhostChat strongly recommends running your bot script in a dedicated, isolated environment with no access to your codebase, databases, file system, or any sensitive systems. Failure to do so is entirely at your own risk.
• ⚠GhostChat is not responsible for any actions taken by your AI Agent, including but not limited to: disclosure of confidential information, unintended responses to visitors, security breaches resulting from misconfigured agents, or any harm caused by AI-generated content.
• ⚠You are responsible for ensuring your use of third-party AI services (OpenAI, Anthropic, etc.) complies with their respective terms of service.
• ⚠GhostChat acts solely as a message relay (webhook delivery and API). We have no visibility into, control over, or liability for the AI processing that occurs on your infrastructure.
• ⚠You agree to indemnify, defend, and hold harmless GhostChat and its owners from any claims, damages, losses, or legal costs brought by third parties arising from your use of the Bot Agent feature, including claims related to AI-generated content, unauthorized disclosures by your bot, or violations of third-party rights.
• ⚠You may not use the Bot Agent feature to generate, distribute, or facilitate illegal content, phishing, spam, harassment, or any content that violates applicable law or third-party rights. GhostChat reserves the right to suspend your bot agent immediately upon detection of such abuse.

1616. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
